Client Responsibilities

As our client, you agree to:

• Supply all necessary materials, such as logos, text, images, or any other content required for website development.
• Cooperate and communicate promptly to avoid delays in project timelines.
• Ensure that all content provided does not infringe on any third-party rights or violate any applicable laws.

Project Timelines and Revisions

We will make reasonable efforts to meet the project deadlines outlined in our agreement. However, delays may occur due to unforeseen circumstances or delays in client communication. In such cases, we will adjust the timeline accordingly.

You are entitled to a specified number of revisions as outlined in your contract. Additional revisions or changes beyond the agreed scope may incur extra fees.

Payment Terms

Payment terms will be outlined in your contract. Generally, our payment structure is as follows:

• A monthly fee is due on the 1st of each month.

Failure to make timely payments may result in the suspension or termination of services.

Ownership and Intellectual Property

Upon full payment, you will own the rights to the custom website and associated content created for you, except for third-party materials such as plugins, themes, and libraries that remain under their respective licenses.

We retain the right to use a copy of the final website in our portfolio and marketing materials unless explicitly stated otherwise in your agreement.

Third-Party Tools and Services

We may integrate third-party services (e.g., content management systems, hosting platforms, analytics tools) into your project. While we will assist in the setup and configuration of these tools, Diamond Devs is not responsible for the performance, security, or functionality of these third-party services

Termination of Services

Either party may terminate the service agreement at any time with written notice. Upon termination:

• Any outstanding balances owed by the client must be paid in full.
• Work completed up to the date of termination will be delivered to the client.

We reserve the right to terminate services immediately in the case of abusive or inappropriate behavior, failure to provide necessary materials, or breach of contract.

Warranties and Disclaimers

We strive to deliver high-quality and functional websites, but we cannot guarantee that your website will be error-free, uninterrupted, or secure. Diamond Devs provides its services on an "as-is" and "as-available" basis, and makes no warranties, whether expressed or implied, regarding the quality, reliability, or availability of the services provided.

You acknowledge that:

• We are not liable for any losses or damages resulting from website downtime, errors, or issues beyond our control, such as hosting service outages or third-party integrations.
• You are responsible for regular maintenance and updates of your website unless a maintenance contract is agreed upon.

Limitation of Liability

To the fullest extent permitted by law, Diamond Devs shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from the use of our services, including but not limited to damages for loss of business, profits, data, or other intangible losses.

Indemnification

You agree to indemnify, defend, and hold harmless Diamond Devs, its affiliates, employees, and contractors from any claims, liabilities, damages, losses, or expenses, including legal fees, arising out of your use of our services, your breach of these Terms, or any infringement of third-party rights.

Confidentiality

We respect the confidentiality of your information and project details. Both parties agree to treat all non-public, proprietary information as confidential and not to disclose it to any third party without consent, except as required by law.

Changes to Terms

We reserve the right to modify or update these Terms at any time. Any changes will be posted on this page with an updated effective date. Your continued use of our services after any changes indicates your acceptance of the modified Terms.
